01. Scope of Commercial Agreement
These Terms of Service ("Terms") govern access to and participation in all services, advisory pathways, software engineering projects, system diagnostics, and recurring retainers provided by UNIQPIXL AI LABS ("UNIQPIXL", "we", "our", or "us"), including our website, qualification forms, discovery sessions, assessments, monthly retainer contracts, and executed Statements of Work ("SOW") or Master Services Agreements ("MSA").
By accessing our site, booking a consultation, engaging our services, or executing an SOW/MSA, you ("Client" or "User") agree to be legally bound by these Terms.
02. Engagement Pathways & Scope Boundaries
UNIQPIXL provides custom technology, advisory, and systems engineering services. Specific scope boundaries, milestones, deliverables, payment terms, and timelines for any engagement are defined in the applicable executing contract, proposal, SOW, or retainer agreement. Our engagement models generally include:
- Discovery & Qualification Calls: Initial consultations to evaluate technical fit, project requirements, and operational goals.
- Diagnostic & Systems Assessments: Structured audit engagements evaluating business operations, software friction, tool stacks, and technology opportunities, delivering documented findings and recommended roadmaps.
- Bespoke Systems & Software Engineering: Custom software development, internal tool creation, AI integrations, automation pipelines, and Business Operating Systems executed under dedicated SOWs.
- Ongoing Monthly Retainers & Managed Services: Continuous system optimization, maintenance, dedicated engineering capacity, software updates, and operational support delivered under recurring monthly retainer agreements.
03. Intellectual Property Rights & Source Code Assignment
Intellectual property ownership terms are defined specifically within each executing SOW, proposal, or Master Services Agreement:
- Engagement-Specific IP Assignment: Source code, custom software, and bespoke automation scripts created for a Client are assigned or licensed according to the explicit terms of the applicable SOW or agreement. Where IP assignment is agreed upon, transfer of ownership takes effect only upon full and final settlement of all outstanding invoices.
- UNIQPIXL Pre-Existing Materials: UNIQPIXL retains ownership of pre-existing core frameworks, open-source utilities, proprietary libraries, and reusable architecture components integrated into any build. Clients are granted a perpetual, non-exclusive license to operate such components as defined in their engagement terms.
04. Commercial Terms, Billing & Monthly Retainers
Diagnostic and assessment fees are payable upfront prior to commencement of work. Project-based engineering engagements are invoiced according to agreed milestone schedules outlined in the applicable SOW.
Monthly retainer services are billed in advance on a recurring billing cycle. Retainer fees secure dedicated capacity and resources for the specified billing period and are non-refundable once the billing period has commenced. Invoices are payable within the payment terms specified in the applicable contract or invoice. Late payments may result in work suspension or temporary delay of managed services.
05. Client Cooperation & Third-Party API Access
Engineering timelines depend on timely Client cooperation. Clients agree to provide required operational context, workflow data, API keys, software access permissions, and prompt feedback. Delays in Client provision of required access may result in corresponding milestone timeline adjustments.
06. Confidentiality & Proprietary Information
Both parties agree to treat all business information, workflow schemas, customer databases, technical architectures, and financial data exchanged during engagements as strictly confidential. Neither party shall disclose confidential information to any third party without prior written consent.
07. Warranties & Third-Party Service Dependencies
UNIQPIXL warrants that all engineering work will be performed in a professional, workmanlike manner adhering to modern software engineering standards.
UNIQPIXL builds systems that integrate with third-party SaaS platforms (e.g., messaging tools, CRM APIs, databases, payment gateways). UNIQPIXL is not responsible for outages, rate limits, API deprecations, or policy changes initiated independently by third-party software vendors.
08. Limitation of Liability
To the maximum extent permitted by law, UNIQPIXL shall not be liable for indirect, incidental, consequential, special, or punitive damages (including loss of profits, revenue, or business continuity). In all cases, UNIQPIXL's total aggregate liability arising out of any engagement shall not exceed the total fees paid by Client to UNIQPIXL under the applicable contract, SOW, or Retainer in the 12 months preceding the claim.
09. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India (and, where applicable, international commercial arbitration standards). Any dispute, controversy, or claim arising out of or relating to these Terms, SOW, or Retainer shall be resolved through binding arbitration under the Indian Arbitration and Conciliation Act, 1996, or mutually agreed international arbitration rules.
